Article 1 (Objective)
The purpose of these Terms of Service is to set forth the terms and conditions, etc. that will apply between customers (hereinafter referred to as the "Users") who use the Seating Only Reservations System service (hereinafter referred to as the "Service") provided by Gurunavi Co., Ltd. (hereinafter referred to as "Gurunavi"), and Gurunavi.
Article 2 (Scope of Application, Terms of Use)

The service allows Users to make reservations for food and beverages services (hereinafter referred to as "Restaurant Services") provided by restaurants that Users wish to visit (hereinafter referred to the "Target Restaurants"), through the submission of applications for reservations for said Restaurant Services at said Target Restaurants (hereinafter referred to as the "Reservation").

Gurunavi may amend the details of the Service, and these Terms of Service, etc. from time to time as necessary.

Reservations made using the Service are not eligible for award points given through other points services provided by Gurunavi.
Article 3 (Establishment of Reservations, etc.)
Users wishing to make a Reservation shall submit an application for the Reservation by notifying Gurunavi of the prescribed required information (including, but not limited to, the desired date and time of the target Restaurant Services of the Reservation, the number of people for whom the Reservation will be made, the User’s e-mail address, contact information, etc.) in accordance with procedures set forth in the Service, and the Reservation shall be established upon completion of said procedures.
Article 4 (Reservation Completion E-mail Retention and Reservation Number)

After completion of the Reservation, an e-mail notification of reservation completion (hereinafter referred to as the "Reservation Completion E-mail") will be sent to the User. In addition, a management number pertaining to the Reservation (hereinafter referred to as the "Reservation Number") may be assigned to the Reservation Completion E-mail. To check the details of the Reservation or for cancellations, the User will need to click or tap on the URL provided with the Reservation Completion E-mail and follow the procedures on the web page (hereinafter referred to as "Management Page").

The User shall bear responsibility for the retention of the Reservation Completion E-mail, and for the use and management of Reservation Numbers.

Actions that transfer or loan of the Reservation Number to another party, or forward the Reservation Completion E-mail to a third party, are prohibited.

The User shall be responsible for the User’s actions, and consequences thereof, in relation to the Service accessed through the Management Page or by using the Reservation Number, regardless of whether the User is willful or negligent.

In the event that a Reservation Number is stolen or unauthorized use by a third party is discovered, the User shall immediately notify Gurunavi thereof and follow instructions issued by Gurunavi.

In the event that a User improperly uses another User's Reservation Number or Reservation Completion E-mail and causes damage to said third party or Gurunavi, the User shall be liable to compensate for all such damages.
Article 5 (Responsibility for Service)

Gurunavi’s responsibility for the Service is limited to the provision of the Service, and Gurunavi is not responsible for any other matters (including, but not limited to, inadequate communication due to misinterpretation of languages used by Users), except as provided under these Terms of Service. In addition, languages that can be used with the Service are limited to Japanese, English, Chinese (simplified and traditional) and Korean, and Gurunavi assumes no responsibility for the inability to make Reservations in any other language.

Gurunavi bears no responsibility for involvement in or liability for, disputes arising from or related to Reservation changes or cancellations, etc. after a Reservation has been established (Cancellation fees may apply. Please check Article 6 and Article 7 for details). In addition, the User shall be liable for compensation in the event that Gurunavi incurs damages due to such disputes.

In the event of any problems, disputes, etc. between a User and a Target Restaurant, said User shall resolve such issues directly with the Target Restaurant, at the User’s own responsibility and expense, and shall not cause any inconvenience or damage to Gurunavi. The User guarantees payment of compensation in the event of any damage to Gurunavi due to such problems, disputes, etc.

All inquiries, claims, etc. concerning Target Restaurants shall be handled by the Target Restaurants, and Gurunavi bears no responsibility for responding to said inquiries, claims, etc.
Article 6 (Cancellation of Reservation)
If a User wishes to cancel a Reservation after the Reservation has been established, said User may cancel the Reservation either via the Management Page or by personally contacting the Target Restaurant and following Reservation cancellation procedures. Furthermore, when a Reservation is cancelled, decisions concerning cancellation fees shall be based on the cancellation provisions set forth by the Target Restaurant, and Gurunavi will have no involvement in the cancellation process.
Article 7 (Changes to Reservation)
If the User wishes to change a Reservation after the Reservation has been established, the User shall follow one of the procedures set forth below. Furthermore, in this case, the User acknowledges that a cancellation fee may be levied in accordance with the provisions of the preceding article when canceling an established Reservation.

The User cancels the established Reservation in accordance with the provisions of the preceding article, and then applies for a new Reservation with the new details in accordance with the provisions of Article 3.

The User contacts the Target Restaurant directly.
Article 8 (Responsibility of Users)

In using the Service, the User shall comply with the procedures and security measures set forth by Gurunavi as well as those set forth in these Terms of Service, etc. and in the event that the User fails to comply or if Gurunavi otherwise determines the actions of the User to be inappropriate for the operation of the Service, Gurunavi may require the suspension or correction of the relevant actions, or may take necessary measures such as suspending the use of the Service and claiming damages (including legal measures).

The User agrees to the terms and conditions indicated on the Service by the Target Restaurant in advance, and shall apply for Reservations after confirming the details of the cautions.

In using the Service, the User shall bear responsibility for the User’s actions and the consequences thereof, and if any problems arise from such, the User shall resolve them at the User’s own responsibility and expense, and shall not cause any inconvenience or damage to Gurunavi.

Other than the preceding Paragraph 3, in the event that the User causes damages to Gurunavi, the Target Restaurant, or a third party, due to the cancellation of a Reservation or other actions of the User, the User shall bear responsibility and be liable to compensate for such damages.
Article 9 (Prohibited Matters)
Users shall not engage in inappropriate acts in the use of the Service. "Inappropriate act" includes the acts set forth below and acts that may be construed as such acts.

Acts against laws and ordinances, these Terms of Service, etc., or public order and morals, or acts that inconvenience Gurunavi or third parties

Fraud or other acts for the purpose of gaining illegal profit

Acts that infringe or lead to infringement of intellectual property rights, such as copyrights and trademarks of Gurunavi or other parties

Acts that attack or slander, or otherwise harm the honor, reputation or privacy of, Gurunavi or any third party
-
Provision of inappropriate information, erroneous information, discriminatory information, criminal information, offensive information or false information that is likely to mislead, or acts deemed to be the dissemination of rumors

Provision of information materially deviating from the purpose of the Service
-
Provision of the same information many times over for improper purposes such as harming companies or other parties
-
Establishing or preparing to establish a Reservation on behalf of a third party
-
Establishing or preparing to establish a Reservation without intending to be the immediate recipient of the Restaurant Services corresponding to the Reservation

Use of the Service to seek monetary or other commercial benefits

Criminal acts or acts that may be associated with criminal acts
-
Use, provision or preparation of harmful programs such as computer viruses through or in connection with the Service
-
Use of the Service while masquerading as another
-
Acts that obstruct the operation or provision of the Service
-
Other acts deemed inappropriate by Gurunavi
Article 10 (Suspension)
Gurunavi may suspend the provision of the Service to the User, in whole or in part, at any time without prior notice or consent in the event of any of the following. In such cases, Gurunavi shall not be liable for any damages or disadvantages to the User.

Maintenance, inspection, or updating of systems and circuits related to the Service on a regular basis or when deemed necessary by Gurunavi

When provision of the Service is rendered difficult due to incidents of force majeure such as earthquake, flood, fire, power failure, communication line accident or other natural disaster, server attack or other causes not attributable to Gurunavi

When provision of the Service is rendered difficult due to unavoidable circumstances other than the above
Article 11 (Indemnification)

Gurunavi does not represent either party with respect to the establishment of a Reservation, which is in essence an agreement between the User and the Target Restaurant, and offers no guarantees to the User in relation to the establishment of a Reservation.

Gurunavi offers no guarantees to Users in relation to the truth, accuracy, reliability, completeness, viability, etc. of the information provided through the Service, and does not assume any liability whatsoever for damages to Users arising out of or in connection with such information.

Gurunavi shall not be liable for any damages arising from a User's breach of these Terms of Service, etc.

Gurunavi shall not be liable for any failures or errors occurring in relation to the Service.

Gurunavi shall not be liable for any loss or damage incurred by the User as a result of data deletion, modification, or suspension of the Service, etc. due to acts of God, server down, viruses, force majeure, or other causes.

In the use of the Service, the User acknowledges that there is a limit to the security function of the Service even when current technical standards are maintained safely and appropriately, and that Gurunavi cannot guarantee that the privacy and confidentiality of the User will be maintained completely or absolutely.

Gurunavi shall not be liable for any damages incurred by a User due to the leakage or loss, etc. of information related to said User for reasons attributable to the Target Restaurant.
Article 12 (Governing Law and Agreed Jurisdiction)

The Japanese language version of these Terms of Service shall be considered the original copy.

These Terms of Service shall be governed by and construed in accordance with the laws of Japan.

In the event of any dispute concerning these Terms of Service, the Tokyo District Court or the Tokyo Summary Court shall assume exclusive jurisdiction as the court of first instance.
Article 13 (Changes to these Terms of Service, changes to the Service, or Discontinuation of the Service)

These Terms of Service are subject to change by Gurunavi, and revised Terms of Service shall apply from the effective date prescribed by Gurunavi.

Changes that are formalities (correction of spelling errors, misprints, etc.), which will have no impact on rights and obligations as prescribed in these Terms of Service, may be made without any notification to Users.

Regarding changes to these Terms of Service that conform to the common interests of Users, Gurunavi may effect such changes by notifying Users through postings showing the content of the revised Terms of Service and the effective date. Continued use of the Service by the User after said changes shall be construed as the User’s agreement to the revised Terms of Service, etc.

For changes other than those defined in the preceding two paragraphs (cases where there is a need for changes that do not infringe the objectives of these Terms of Service, etc.), Gurunavi shall post the content of the revised Terms of Service and the effective date at least two weeks prior to the effective date (when a longer lead time is set due to the degree of inexpediency, then said lead time.). When deemed necessary, Gurunavi may change these Terms of Service at any time, without prior notice to the User.

Handling of Personal Information
The personal information entrusted by users will be used for responding to inquiries related to the service, handling store reservation procedures and managing their status (including unauthorized cancellation status), creating customer ledgers, communication, understanding user attributes and composition, verifying identity upon visiting target stores, contacting regarding sales promotions of Gurunavi Group's services, sending and dispatching advertising emails, direct mail, catalogs including surveys and email magazines, providing information on campaigns hosted or co-hosted by Gurunavi Group, requesting cooperation in market research and promotional measures, analyzing various records, and creating statistical data that cannot identify specific individuals. Furthermore, within the scope necessary to achieve the above-mentioned purposes, names, email addresses, etc., may be provided to the relevant stores (including entities managing the stores), subcontractors, and cooperative companies in electronic or paper format. Additionally, information on unauthorized cancellations (including email addresses) will be shared with relevant stores to address unauthorized cancellations. Except as required by law, personal information will not be used or provided to third parties for purposes other than those notified without the individual's consent. Providing personal information to our company is voluntary, but if not provided or inaccurate, it may hinder the procedures or services necessary to achieve the purposes of use.
